1. Definitions

Access Code. A code supplied by Us to a User that the User uses to create an E-learning account.

Corporate User. A corporate entity or educational or training organisation that purchases Services for use by its employees or students (“You”, “Your”). Corporate Users shall be responsible for ensuring that each of its Users complies with these terms and conditions.

E-learning Duration. The period of time during which a subscription to Our E-learning is active.

E-learning. Any self-access e-learning course or assessment service provided by Latitude Aviation English Services Limited (“We”, “Us”, “Our”) and made available to a User, including all associated support provided to the User by Us.

Individual User. An individual that purchases one or more of Our Services (“You”, “Your”).

Instructor Session. An online instructor-led training event provided by Us to one or more Users including all associated Learning Content and support provided to the User by Us.

Learning Content. Any material supplied to a User by Us in the delivery of Our Services.

Modular Instructor Session. An Instructor Session which is provided by Us to a User via Our online booking calendar. 

Services. E-learning and/or Instructor Sessions, and associated Learning Content.

Scheduled Course. Any Service package comprising E-learning and one or more Instructor Session provided by Us in accordance with a schedule published by Us and made available for purchase by Corporate Users and Individual Users.

User. Any individual authorised to access Our Services.

Validity Period. The period of time during which a User may book a Modular Instructor Session.

2. Using Our Services over the Internet

We specify the minimum requirements for equipment, software and Internet connection and procedures for accessing Our Services. Users access Our Services using personal accounts on third party software platforms via the Internet on personal computers, laptops, tablets and smartphones. Whilst We have made every attempt to make Our Services accessible on all computing devices, there are millions of different computing device configurations and We do not guarantee that Our Services will work perfectly on every computer or device.

In using Our Services, the User acknowledges that:

  • The success of the Services is contingent upon the User’s proper selection, provision, maintenance and set-up of equipment, software and Internet connection for which We shall not be responsible; 
  • It is the User’s responsibility to ensure that the third party software platform(s) specified by Us for the delivery of the Services meet the User’s requirements with regard to compatibility, accessibility, security and privacy; and 
  • The User may be required to accept the terms and conditions of the third party software platform(s) specified by Us for the delivery of the Services over which We have no control.

It is the User’s responsibility to ensure that the User has appropriate protection against viruses and other security threats while accessing Our Services.

3. Privacy

Our Privacy Policy explains how We treat personal data and protect User privacy when using Our Services. By using Our Services, the User agrees that We can use such data in accordance with Our Privacy Policy.

4. Payment

We accept payment by credit card via our website or by bank transfer. All payments shall be made in cleared funds, without any deduction or set-off and free and clear of and without deduction for or on account of any taxes, levies, imports, duties, charges, fees and withholdings of any nature now or hereafter imposed by any bank or governmental, fiscal or other authority save as required by law. If You are compelled to make any such deduction, You will pay to Us such additional amounts as are necessary to ensure Our receipt of the full amount which We would have received but for the deduction. 

We reserve the right to cancel, postpone or suspend delivery of Services until payment is received in full.

5. E-learning accounts

A User needs an account to access Our E-learning. Accounts are created as follows:

  • Users create an account using an Access Code; or
  • An account is created by Us and assigned to a User by Us or by a Corporate User.

Where a User is using an account assigned by a Corporate User, the User accepts that the Corporate User may be able to access, view, edit or disable the User’s account.

6. E-learning Duration

On purchasing E-learning or a Scheduled Course, We supply You with a subscription for the specified E-learning Duration. If the User logs in to an e-learning course using an Access Code, the E-learning Duration will begin from the date the User first logs in. E-learning Duration for Corporate Users will be defined by mutual agreement.

A User who wishes to suspend or extend E-learning Duration should contact info@latitude-aes.aero. We may extend E-learning Duration at Our discretion. We reserve the right to charge additional fees for suspension or extension of E-learning Duration.

On expiry of the E-learning Duration the User’s access to E-learning will cease.

7. Modular Instructor Sessions

On purchasing (a) Modular Instructor Session(s), We supply You with access to and instructions for the online booking calendar on Our website and the User can make booking(s) for Modular Instructor Sessions via the booking calendar in accordance with the Validity Period specified at the point of purchase. Modular Instructor Sessions are provided on a ‘first come first served’ basis and are normally available from Monday to Friday over a range of different times. We do not guarantee that Modular Instructor Sessions will be available at times that suit the User. 

The User may cancel a Modular Instructor Session up to 12 hours before the start time. The User cannot cancel a Modular Instructor Session fewer than 12 hours before the start time. 

In the event that You wish to extend the Validity Period You should contact info@latitude-aes.aero. We may extend the Validity Period at Our discretion. We reserve the right to charge additional fees for extension to the Validity Period. On expiry of the Validity Period, the User’s access to Our online booking calendar will cease.

8. Scheduled Courses

Enrolment on Scheduled Courses is offered on a ‘first come first served’ basis and is subject to:

  • Availability at the time of enrolment; and 
  • Our receipt of payment in full.

We deliver Scheduled Courses according to a schedule which We publish on Our website. We reserve the right to make changes to the schedule at any time. Changes to the schedule will be published on Our website and We will notify Users of the same. When enrolled on a Scheduled Course, it is the User’s responsibility to complete E-learning and attend Instructor Sessions in accordance with the schedule.

9. Refund policy

We do not provide refunds or credits in the event that the User is unable to attend or complete Services in whole or in part due to reasons beyond Our control which include but are not limited to: 

  • Failure of third party software platform(s) to meet the User’s requirements with regard to compatibility, accessibility, security and privacy;
  • Failure to attend due to User inattention, illness and injury;
  • Technical problems with the User’s equipment, software or Internet connection; and
  • Failure of the User to cancel a Modular Instructor Session or Scheduled Course.

E-learning

Once a user has accessed their E-learning course, fees for E-learning are non-refundable.

Modular Instructor Sessions

Fees for Modular Instructor Sessions are non-refundable. However, in the event that We are unable to deliver a Modular Instructor Session, We shall provide a replacement Modular Instructor Session to the User at no further charge.

Scheduled Courses

Fees for Scheduled Courses are refundable in full if:

  • You cancel a course any time up to eight weeks before the course start date (a £50 cancellation fee per User applies);
  • We cancel a Scheduled Course.

Fees for Scheduled Courses are non-refundable if You cancel a Scheduled Course less than eight weeks before the course start date. 

We shall not be liable for any costs, charges or losses sustained or incurred by You that arise directly or indirectly from Scheduled Course cancellations whether the cancellation is made by Us or You.

In the event that We are unable to deliver (an) Instructor Session(s) on a Scheduled Course We shall provide (a) replacement Instructor Session(s) at a mutually-agreed time and at no further charge to You.

10. Learning content updates

We reserve the right to update Our Learning Content from time to time in order to ensure that the content is accurate and up-to-date. When We publish updates to the Learning Content in Our E-learning, the User may lose previous responses and scores for any course module or unit that We update.

11. External links

Any electronic links from Our Learning Content are provided for information and convenience only, and We have no control over and cannot therefore accept responsibility or liability for the content of any linked third party website. We do not endorse any linked websites.

12. Copyright and intellectual property rights

Permission is granted for use of Our Services by individual User subscription.

Users may, for personal use only, save to an individual storage medium and print PDF listening and reading texts from Our E-learning and Learning Content from Instructor Sessions as are necessary for personal learning purposes.

We retain the copyright to Our Learning Content, including but not limited to the right to publish, republish, transmit, sell, distribute and otherwise use Our Learning Content in whole or in part in electronic and print editions throughout the world, in all languages and in all media of expression now known or later developed, and to license or permit others to do so. Using Our Services does not give You ownership of any Learning Content or intellectual property rights in Our Learning Content.

Any unauthorised broadcasting, transmission, public performance, lending or sharing of Our Learning Content is prohibited. It is expressly prohibited to copy, reproduce, modify, adapt, decompile or disassemble Our Learning Content in any way, or permit the content of Our Learning Content to be combined with or become incorporated in any other language training or assessment service.

Reproduction, posting, transmission or other distribution or use of Our Learning Content in whole or in part, in any medium, requires Our written permission, or in the case of third party materials, the owner of that content. You may not alter or remove any copyright or other notice from copies of Our Learning Content.

If You believe that any part of Our Learning Content may infringe the copyrights of another party, please contact us.

We may suspend or stop providing Learning Content to You if You do not comply with Our terms or conditions, or if We are investigating suspected misconduct.

13. Limited warranty

We accept responsibility for ensuring that Our Services are supplied as described and that Our Services shall be supplied to a reasonable standard.

While We have used Our best endeavours to ensure that Learning Content was accurate at the time it was published, We do not warrant that the Learning Content, or on any other site or location referred to in Our Services, is complete or free from error or omission. We make Our services and all the Learning Content contained in it available strictly on the basis that You accept it 'as is' and 'as available', and You should exercise Your own skill and care with respect to the use of the information and material contained in Our Services. Where a User relies on any Learning Content in Our Services, they do so entirely at their own risk.

The contents of Our Services, including the technical, operational and related information, are provided for educational purposes only. Our Services are not a substitute for any form of technical or skills-based aviation training and do not constitute professional advice or opinion, and should not be relied upon in this way.

We do not warrant that Our Services will meet Your requirements or that their operation will be uninterrupted or error free. You acknowledge that it is Your responsibility to ensure that the facilities and functions of Our Services meet Your requirements.

We do not warrant that Users of Our Services will achieve the required or desired standard of knowledge, skill or proficiency. We make no warranty, either express or implied, that Users will perform successfully, either linguistically or technically, with aviation training or in their professional roles subsequent to using Our Services.

14. Liability

We shall not be liable for the perceived failure of Our Services where such failure is attributable to a) the fault of the User, Individual User or Corporate User, b) the unforeseeable or unavoidable actions of an unconnected third party, c) unusual and unforeseeable circumstances beyond Our or Our suppliers’ control, including force majeure.

We specifically exclude any liability whatsoever, to the fullest extent permitted by law, in respect of any loss or damage resulting or arising from use of or reliance on Our Services or any material or content accessed through them. You agree to indemnify, defend and hold Us, Our directors, officers, employees or agents, harmless from all claims, causes, costs, expenses, fees (including reasonable legal fees), judgments, liabilities, losses, damages, suits, judgments, litigation costs and attorneys’ fees arising from or relating to Your use of Our Services. To the extent permitted by law, Our total liability and the total liability of Our suppliers and distributors, for any claims arising from the use of Our Services, including any implied warranties, is limited to the Fees You paid to Us.

15. About these terms and conditions

We may modify these terms and conditions or any additional terms and conditions that apply to the Services to, for example, reflect changes to the law or changes to Our Services. Users should look at these terms regularly. We will post notice of modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If the User does not agree to the modified terms and conditions for Our Services, the User should discontinue use of Our Services.

These terms control the relationship between Us and You. They do not create any third party beneficiary rights.

If the User does not comply with these terms and conditions, and We don’t take action right away, this does not mean that We are giving up any rights that We may have (such as taking action in the future). If a particular term is not enforceable, this will not affect any other terms.

The laws of the United Kingdom will apply to any disputes arising out of or relating to these terms and conditions or the Services. All claims arising out of or relating to these terms and conditions or the Services will be litigated exclusively in the United Kingdom, and We and You consent to jurisdiction in those courts.

16. Complaints

If You feel You have a reason for complaint, You should inform Us as soon as possible. We will then respond to all reasonable complaints and We will do all We can to resolve any problems. We will not be able to respond to complaints made after Our Services have been delivered, unless You notified Us of this complaint during delivery of the Services and You gave Us reasonable opportunity to respond to this complaint at that time.
